Please read these Terms of Service ("Terms") carefully before using Doc360 (the "Service", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Accounts and Workspaces

To use certain features, you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep it updated.

You are responsible for safeguarding the password and credentials you use to access the Service and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

If you use the Service on behalf of a company or organization (a "Workspace"), you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

2. Use of the Service

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To transmit unsolicited or unauthorized advertising, promotional materials, or spam.
  • To impersonate or attempt to impersonate Doc360, a Doc360 employee, another user, or any other person or entity.
  • To upload or transmit viruses, malware, or other malicious code.
  • To infringe upon the intellectual property or other rights of any third party.

3. Content and Intellectual Property

Your Content: You retain all rights to the documents, annotations, comments, and other content you upload or create ("User Content"). By using the Service, you grant us a limited license to access, store, and process your User Content solely to provide, maintain, and improve the Service.

Our IP: The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Doc360 and its licensors. The Service is protected by copyright, trademark, and other laws.

4. Third-Party Integrations

The Service may contain links to or integrations with third-party web sites or services that are not owned or controlled by Doc360 (e.g., Google Drive).

Doc360 has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You acknowledge and agree that Doc360 shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party web sites or services.

5. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

6. Limitation of Liability

In no event shall Doc360, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

7. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
